< Let Us Protect K-pop’s Development Through the Reconstruction and Reconciliation of ADOR >

The ongoing conflict between HYBE and former ADOR CEO Min Hee-jin has gone beyond a simple corporate dispute and is now causing a crisis for K-pop as a whole. Due to this irrational confrontation that has lasted for over a year and a half, NewJeans members are facing uncertainty in their activities, and the K-pop ecosystem is falling into serious distrust and confusion.

In this situation, we must start again from the fundamental question.

That question is how the success of ADOR and NewJeans was made possible. That success was the result of combining HYBE’s capital and infrastructure support, former CEO Min Hee-jin’s producing abilities, and the efforts of the NewJeans members.

However, we now stand before the reality that ADOR, which was at the center of it all, is shaking and facing a crisis.

But it is not too late.
If HYBE, Min Hee-jin, and NewJeans join hands with each other, a new beginning is entirely possible.

This conflict is an accumulation of mutual misunderstandings, and it is difficult to clearly say that either side provided grounds for a loss of trust. Nevertheless, the conflict has emerged as reality. Therefore,

An agreement is necessary.

And for an agreement to be reached, the demands of both sides must ultimately be reflected.

Now is the opportune moment for this agreement.

HYBE and current ADOR have won four consecutive lawsuits against NewJeans, and Min Hee-jin has been found not guilty of breach of trust charges. In effect, both sides have received judgments that they bear no fault or guilt.

Accordingly, our Coalition offers the following proposals.

The proposals are:

1. Actions Both Parties Should Take
We propose that both parties agree to the overarching premise of “reconciliation and compromise,” resolve misunderstandings and distrust through direct dialogue rather than solely issuing statements through the media, and publicly acknowledge and apologize for the disappointment they have caused each other, thereby restoring trust and delivering a message of harmony and coexistence through a joint statement or press conference to mediate the conflict and prevent further escalation of public discord. We also propose that all civil and criminal lawsuits, complaints, and accusations be withdrawn, that mutual criticism through both official and unofficial channels cease, and that both parties pledge to prevent recurrence.

2. Preliminary Procedures Including Contract Settlement
First, we propose that HYBE reinstate former CEO Min Hee-jin to her position as ADOR CEO and codify provisions in the shareholders’ agreement to prevent any future attempts at indirect removal of the CEO through directors appointed by HYBE. We propose that former CEO Min Hee-jin demonstrate the virtue of concession as a forward-looking measure for her return and cooperation by waiving her right to claim put option proceeds, while also forfeiting the capital invested in OKAY, selling OKAY to HYBE for 0 won, and consenting to maintain the non-compete clause that she had criticized. We also propose that NewJeans return to ADOR and renegotiate their exclusive contract, taking into account the extension of the contract period in consideration of the hiatus. Additionally, we propose maintaining the existing ADOR board composition where HYBE-side personnel hold the majority.

3. Matters Following the Finalization of Reconciliation

3.1. Mediation Committee
To ensure the effective implementation of the agreed terms, we propose establishing a mediation committee that periodically evaluates compliance. The committee composition shall consist of 7 members from the HYBE side including the HYBE CEO and ADOR directors to be appointed by HYBE (excluding the CEO), 7 members from former CEO Min Hee-jin’s side including Min Hee-jin herself and an artist representative, and 5 neutral members. The chairperson shall be selected from among the neutral members. Additionally, one legal professional from each of the HYBE side, Min Hee-jin’s side, and the neutral members shall be included to serve in a legal advisory capacity.

3.2. Gifts to Each Other
We propose that both parties offer “gifts” to each other as compensation for having escalated the conflict. HYBE should employ Min Hee-jin within HYBE with a title such as director while providing a stock bonus of approximately 5-10% of ADOR shares. Min Hee-jin should appoint HYBE Chairman of the Board Bang Si-hyuk as an advisor to ADOR while appointing HYBE alumni to key positions at ADOR such as directors, bringing Phoning—which had been operating independently—into Weverse, the platform where most HYBE artists are based, and reducing criticism of HYBE’s management that lacks sufficient basis.

3.3. Content Production
The conflict among HYBE, Min Hee-jin, and NewJeans will remain a case that will be widely referred to in the history of K-pop and corporate affairs. To document this situation for the record, we propose that HYBE and Min Hee-jin consider joint production of documentaries, books, and other content. Furthermore, this situation escalated to the point of complaints and accusations between labels within HYBE, creating internal division. To mend this division, we propose consideration of joint content production involving not only artists from the labels that filed mutual complaints and accusations in this matter, but all HYBE artists together.

And so forth.

HYBE, former CEO Min Hee-jin, and NewJeans are all parties who have greatly contributed to the development of K-pop in their respective roles. Although discord has arisen due to current misunderstandings and conflicts, now is the time to heal past wounds through genuine dialogue and mutual concession and move forward together toward a bright future for the entire K-pop industry. Our ‘Coalition for Resolving the ADOR Conflict & Advancing K-pop’ urges all parties to make wise and courageous decisions, and we sincerely hope that this crisis can become an opportunity to turn misfortune into blessing for the maturation and revival of the K-pop industry. We also genuinely hope that this proposal will bring an end to the current unfortunate situation and serve as a turning point for HYBE, Min Hee-jin, and NewJeans to walk the path of coexistence rather than mutual destruction.
