Agenda Item 1. Proposal to Establish In-House Advisor Position at ADOR and Nominate Bang Si-hyuk
It was resolved to propose establishing an advisor position and nominating HYBE Chairman of the Board Bang Si-hyuk as ADOR’s advisor to strengthen cooperation between ADOR and HYBE.

To supplement the committee’s composition and enable substantive action, it was decided to pursue proposals for direct participation from HYBE and Min Hee-jin’s side in the future.

In a situation where the conflict between HYBE and former ADOR CEO Min Hee-jin shows no signs of ending, and given that both sides have responded in good faith throughout and it is difficult to conclude that either side has provided grounds for loss of trust, we cannot simply stand by and watch this conflict. Therefore, we resolve as follows:
1. What Both Sides Must Do
Both parties must agree on the fundamental premise of ‘compromise for reconciliation’ and resolve misunderstandings and distrust through direct dialogue, not just statements through the media. Furthermore, they must restore trust by publicly acknowledging and apologizing for the disappointments they have caused each other, and deliver a message of harmony and mutual prosperity through joint statements or press conferences to prevent further escalation of public conflict. Additionally, all civil and criminal lawsuits and complaints must be withdrawn, mutual criticism through both official and unofficial channels must cease, and they must commit to preventing recurrence.
2. Contract Settlement
HYBE must reinstate former CEO Min Hee-jin to the position of ADOR CEO, and explicitly include provisions in the shareholders’ agreement to prevent future indirect dismissal attempts through their influence. Former CEO Min Hee-jin must demonstrate the virtue of compromise by forfeiting her right to claim put option payment as a forward-looking measure for her return and cooperation. NewJeans must also return as ADOR artists, and the exclusive contract must be renegotiated taking into account the hiatus period and the corresponding extension of the contract term.
3. Mediation Committee
To ensure effective implementation of the agreed terms, a mediation committee shall be established, and the committee shall periodically evaluate compliance. The committee shall consist of 7 members from HYBE’s side including the HYBE representative and ADOR directors to be appointed by HYBE (excluding the majority), 7 members including Min Hee-jin herself and the newly appointed former representative who will become the ADOR CEO, and 5 neutral members. The chairperson shall be one of the neutral members. Additionally, one legal professional each from HYBE’s side, Min Hee-jin’s side, and the neutral members shall be included to serve in an advisory capacity.
We sincerely hope that this proposal will end the current unfortunate situation and serve as a turning point for HYBE, Min Hee-jin, and NewJeans to walk a path of mutual prosperity rather than mutual destruction.
